Persistent Systems secures NCLT approval for subsidiary merger

Persistent Systems has received approval to merge its wholly-owned subsidiary, Arrka Infosec Private Limited. The National Company Law Tribunal (NCLT) greenlit the move, which will simplify the company’s structure. Arrka Infosec, originally founded in 2012, specialises in IT and IT-enabled services (ITeS). The merger aims to streamline operations by removing duplicate corporate processes. Administrative costs are expected to drop as records and undertakings consolidate under one entity. No new shares will be issued, and Arrka Infosec’s existing capital will be cancelled once the scheme takes effect.

Arrka Infosec began as Innovative 21st Century Technologies Minds Private Limited before rebranding. The subsidiary will cease to exist immediately after the merger completes. Persistent Systems has highlighted synergy gains and a leaner corporate framework as key benefits of the decision.

The NCLT’s approval marks the final step before the merger is finalised. Arrka Infosec’s dissolution will follow shortly after, with all operations absorbed into Persistent Systems. The restructuring is set to reduce complexity and improve efficiency across the company’s IT services.
