T-Technologies unveils stock split and Tochka Bank consolidation by 2026

T-Technologies PJSC has announced plans for a major stock split and a consolidation deal involving Tochka Bank. The moves aim to make shares more accessible to retail investors while expanding the company's financial services holdings. Shareholders will vote on the proposals in June 2026, with finalisation expected by autumn of that year.

The stock split will increase T-Technologies' total shares from 268 million to 2.68 billion. As a result, the nominal value per share will drop from 3.6 rubles to 36 kopecks. The conversion is scheduled for the eighth business day after regulatory approval of the share issuance changes.

The company has stressed that the split will not alter its market capitalisation or dividend policy. Despite the announcement, T-Technologies' shares showed minimal movement, trading at 3,373.6 rubles (down 0.3%) by midday in Moscow.

Alongside the split, the firm plans to consolidate up to 100% of Tochka Bank through a closed share subscription. This deal, part of a joint venture with Interros called Catalytic People, is expected to benefit both the bank's current shareholders and the broader venture.

The stock split and bank consolidation are set to complete in autumn 2026, pending shareholder approval. The changes will broaden retail investor access to T-Technologies' shares while strengthening its position in the banking sector. No immediate impact on share prices or dividends has been reported.
