MSC Inching Closer to HHLA Acquisition

Major shipping powerhouse MSC is nearing completion of its planned acquisition of almost half of Hamburg's port logistics company, HHLA. As of Monday afternoon, MSC has secured a tendered share of around 3.9% of HHLA, according to the shipping firm's daily announcement reports. This comes in addition to MSC's existing stake of nearly 10%. MSC is offering €16.75 per HHLA share, with the offer period ending Tuesday night, although an extension is possible.

At the moment, the City of Hamburg and MSC jointly hold approximately 84.21% of HHLA's share capital and voting rights. Initially, Nils Kahn, CEO of MSC Germany, had mentioned that the city and his company would collectively own 75% by the first half of November.

The acquisition of HHLA shares by MSC could trigger problems with Hamburg ports' shipping traffic, due to HHLA's substantial role in the city's port operations. The increase in MSC's stake in HHLA may also affect the overall port traffic management, as the company seeks to optimize operations for its own shipping needs.

Threshold for takeover bids is 90%, which would force remaining shareholders to relinquish their shares, a process called "squeeze out". MSC's takeover bid officially expired on October 23, after a 4-week period. Shareholders who declined the offer during this time can still participate within the statutory "further acceptance period", potentially from November 24 to December 7.

Agreement between the City and MSC calls for HHLA to be operated as a joint venture, with the city holding at least 50.1% and MSC owning a maximum of 49.9%. Following the closure of the deal, which is subject to regulatory approvals, the transaction is expected to be completed in the second quarter of 2024.
