Gran Tierra Completes i3 Energy Acquisition, Meets All Takeover Requirements

In a written confirmation dated October 31, 2025, Gran Tierra Energy Inc. has confirmed its compliance with post-offer intention statements regarding i3 Energy plc. These statements were outlined in its announcement under Rule 2.7 of the Code on August 19, 2024, and in the scheme document published by i3 Energy on August 29, 2024. The acquisition of i3 Energy plc by Gran Tierra has been successfully concluded. Gran Tierra has met all necessary requirements and confirmed its compliance with post-offer intention statements, ensuring a smooth transition and completion of the takeover.
