CVD Equipment Sells Stainless Design Concepts for $16.9 Million

CVD Equipment Corporation has sold its Stainless Design Concepts (SDC) business division in a cash deal. The transaction closed for approximately $16.9 million, marking a significant shift for the company's operations. The sale was finalised with a total cash payment of $16.9 million. After accounting for expenses and taxes, CVD will retain net proceeds of around $15.0 million. A portion of the funds—$900,000—will be held in escrow to cover any post-closing adjustments or indemnification claims.

CVD will keep ownership of its Saugerties, New York facility. Under the agreement, the buyer will lease the site for an initial two-year period. This arrangement ensures continuity while the company transitions away from the SDC division. The proceeds from the sale are intended to boost CVD's financial flexibility. Management plans to allocate the funds toward strategic initiatives, though specific details have not yet been disclosed.

With the transaction complete, CVD now holds additional capital to support future projects. The leaseback of the Saugerties facility provides stability during the transition. The company's next steps will likely focus on deploying the funds to strengthen its core operations.
